By placing an order with Tru-Bilt Industries Ltd ("TBI"), the Client agrees to be bound by these Terms and Conditions. These terms apply to all transactions unless otherwise agreed in writing by both parties. Acceptance includes any order placed, goods received, or services accepted by the Client.
Where there is any inconsistency between these Terms and previous agreements or documents, these Terms shall prevail unless explicitly stated otherwise.
Definitions:
- “We”, “Us”, “Tru-Bilt”, “TBI”, or “Tru-Gard" means Tru-Bilt Industries, 20 Townleys Road, Dunedin, NZ
- “You”, “Customer”, or “Client” means any person/s or entity purchasing or viewing products / services on this website or directly from Tru-Bilt Industries.

2.1 Pricing
- All prices are in New Zealand Dollars (or AUD where noted) and exclude GST, taxes or tariffs unless otherwise stated.
- We reserve the right to adjust or amend prices at any time, though we will honour the price at the time of your order confirmation.
- Prices are subject to change due to fluctuations in the cost of materials, labour, foreign exchange, or freight.
- Custom or made to order products require a deposit or other up front payments prior to production or dispatch unless otherwise noted.
- Quotes are valid for 30 days unless otherwise specified.
2.2 Payment Terms
- Standard payment is due within 7 days of invoice date.
- Approved account holders may be invoiced monthly with payment due by the 20th of the following month.
- A deposit may be required prior to production or dispatch.
- Pricing and payment methods will follow the standard terms of your account status unless otherwise communicated. This excludes the online store which follows standard online operating terms and payments.
2.3 Methods of Payment
- Accepted methods include bank transfer, EFTPOS, and credit card (3% surcharge applies).
- Cheques are not accepted.
- Cash payments are not accepted unless otherwise agreed.
2.4 Late Payments
- Interest accrues on overdue invoices at 2.5% per month, compounding monthly.
- The Client will be liable for all collection costs, including legal and agency fees.

3. Delivery

3.1 Delivery Terms
- Delivery is deemed complete when goods are collected by or delivered to the Client or their agent.
- Delivery may be made in instalments.
- Please see our Shipping and Returns policy for more information.
3.2 Delays
- All delivery dates are estimates. TBI is not liable for losses due to delays.
- If the Client is not available to receive goods, redelivery and storage fees may apply.
3.3 Risk
- Risk passes to the Client upon delivery.
- Clients must ensure goods are insured from the point of delivery.
- If goods are left unattended or at an unsecured location, it is at the Client’s risk.
4. Retention of Title

- Ownership of goods remains with TBI until full payment is received.
- Until ownership passes, the Client must not sell, transfer, or alter the goods.
- TBI may repossess unpaid goods without notice and without breach of privacy or trespass laws.
5. Limitation of Liability

- To the extent as outlined by NZ governing laws, TBI is not liable for direct or indirect loss, damages, or delays cause by the use of the website, supply failure, acts of god, or other external delays.

- TBI complies with the Privacy Act 2020 and applicable data protection laws.
- Information is collected for credit assessments, communications, and order fulfilment.
- Cookies and digital tracking may be used when accessing TBI's website.
- Clients may request access to or correction of their personal information.
- Your data may also be used for the purposes of marketing and communications from TBI but your data will never be shared with third parties. To updated, amend or remove your information please contact marketing@tru-gard.com

8.1 Default
- If the Client fails to make payment or breaches these Terms, TBI may cancel any orders and recover unpaid goods.
- All outstanding amounts become immediately payable upon default.
- Custom or special orders may not be cancelled once production has commenced.

- TBI complies with the Privacy Act 2020 and applicable data protection laws.
- Information is collected and stored for purposes including, but not limited to: credit assessments, communications, order fulfilment, and other marketing and promotional purposes. You can request for your data to be removed or updated any time by contacting marketing@tru-gard.com
- Cookies and other digital marketing may be used when accessing this website
- Your data will not be supplied to any third parties without express written consent.
10. General Terms

- These Terms are governed by New Zealand law.
- Disputes shall be resolved by mediation before pursuing litigation.
- Any legal proceedings must be conducted in the courts of Dunedin, NZ.
- TBI may update these Terms by written notice; continued use of services implies acceptance.
- TBI may subcontract services without notice but remains responsible for performance.
- Please note before ordering non-refundable or custom products, ensure that you have completed your due diligence. These orders will be considered correct when received and cannot be amended once accepted.
